How do I set up a limited company in NZ?
Setting up a company in New Zealand is a straightforward process handled through the New Zealand Companies Office at companies.govt.nz.
What you'll need before you start
- A RealMe login to access the Companies Office online portal
- At least one director (must be a NZ or Australian resident, or hold a relevant visa)
- At least one shareholder (can be the same person as the director)
- A registered office address in New Zealand (this is the official address for correspondence — it can be your accountant's address)
- A company name that is not already in use
Steps to register
- Go to companies.govt.nz and log in with your RealMe account
- Search for your company name to confirm it's available
- Submit your incorporation application, including:
- Company name
- Registered office address
- Director details and signed consent forms
- Shareholder details and share allocation
- Pay the registration fee (currently NZD $10.22 online)
- Receive your certificate of incorporation — your company now legally exists
Once registered, your company is automatically assigned an NZBN (New Zealand Business Number) — a unique identifier used across government agencies.
After registration
- Register for an IRD number for the company (separate from your personal IRD number)
- Register for GST if your expected turnover will exceed $60,000 in 12 months
- Set up a separate business bank account
- File an annual return with the Companies Office each year to keep your registration active
